Terms of sale

This English version is provided for convenience only. In case of any discrepancy, the Italian version prevails.

Provisional version of 29 September 2026. Until online purchasing opens, the tools are activated on order: the final terms are provided and signed together with the activation order.

1. Parties and subject matter

These terms govern subscriptions to the software tools of Nexcommon S.r.l., Via Roggia 54, 31100 Treviso, Italy, VAT no. and tax code 05608100268, REA TV-458641 (“Nexcommon”): Nexcommon Varco, Document Register (Elenco Elaborati), Fingerprint Archive (Archivio con impronta) and the Nexcommon Suite, as described on the Tools page.

2. Who the offer is for

The offer is reserved for businesses, professionals, organisations and public administrations purchasing in the course of their business (the “Customer”). It is not addressed to consumers.

3. Company, users and access

The subscription is held by a single company or organisation, identified by its VAT number. It includes an unlimited number of users and projects of that company. Each user signs in with a named account and an email address on the company domain; personal addresses and shared accounts are not allowed. Use by other companies, including companies of the same group, requires the Enterprise plan.

4. No free trial

The tools do not include a free trial. To evaluate them, the Customer can take out the monthly subscription, which can be cancelled at any time under section 7, or request a demo from the Contact page.

5. Term and renewal

  • Monthly: one-month term, automatically renewed month by month.
  • Annual: twelve-month term, automatically renewed year by year.
  • Three-year: three-year commitment, invoiced every year, with the price locked for the whole term; at expiry it renews year by year.

6. Prices, invoicing and payment

Prices are those published on the Tools page on the date of the order, in euro, excluding VAT. The fee is paid in advance for each period. Nexcommon issues an electronic invoice. Once online purchasing opens, payment will be by card or SEPA direct debit through Stripe; until then, as stated in the order. Public administrations can also activate the subscription by direct order with a CIG code. Any price changes are notified at least 30 days in advance and apply only from the next renewal; they do not apply to a three-year term in progress.

7. Cancellation

Monthly and annual subscriptions can be cancelled at any time by email to info@nexcommon.com or from the customer portal when available; they remain active until the end of the period already paid and do not give rise to partial refunds. The three-year subscription can be cancelled with effect from the end of the three-year term.

8. Permitted use

The Customer receives a non-exclusive, non-transferable licence to use the tools for the term of the subscription. Reselling or transferring access to third parties, and decompiling or copying the software, are not permitted. Varco is a service managed by Nexcommon and is neither delivered to nor installed at the Customer’s premises.

9. Customer data and confidentiality

Project documents remain the property of the Customer. For Document Register and Fingerprint Archive, files are read on the user’s computer and only names, paths, fingerprints, title-block text and metadata reach the server. In Varco, files pass through the service without being stored there. Nexcommon keeps the logs needed to provide the service and processes users’ personal data in compliance with Regulation (EU) 2016/679; where required, it signs a data processing agreement with the Customer under Article 28.

10. Nature of the results

The tools support the Customer’s work and do not replace professional review: registers, anomalies and comparisons between deliveries must be checked by a qualified technician before use. The SHA-256 fingerprint and the delivery log are evidence of integrity and delivery, not a digital signature or a qualified timestamp. Features marked “coming soon” are not part of the subscription until they are released.

11. Support and availability

Support is provided by email on working days. Nexcommon undertakes to keep the service available with professional diligence and to announce scheduled interruptions in advance where possible. Support with the configuration of the Customer’s Autodesk and Trimble portals is not included in the fee.

12. Liability

Except in cases of wilful misconduct or gross negligence, Nexcommon’s liability is limited to the amount of fees paid by the Customer in the twelve months preceding the event and excludes indirect damages, loss of profit and loss of data not attributable to Nexcommon.

13. Changes, governing law and jurisdiction

Nexcommon may update these terms with at least 30 days’ notice; changes apply from the next renewal. The contract is governed by Italian law. The Court of Treviso (Italy) has exclusive jurisdiction over any dispute.
